Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the website at https://nexgenautomations.ca and any services provided by NexGen Automations ("we", "us", "our"). By using this website or engaging us for a service, you agree to these Terms.

2. Services

We provide automation, AI, and software services as described on this website. All service descriptions, timelines, and pricing shown are indicative only. The final scope, deliverables, schedule, and price for any project will be confirmed in a written quote or service agreement signed by both parties before work begins.

Pricing displayed as "starting from" reflects baseline project complexity and may vary based on your specific requirements, integrations, hardware, site conditions, and support needs.

3. Trade and licensing scope

Our work in Canada is limited to:

  • Software, AI, mobile, web, and CRM development
  • Low-voltage control systems, sensors, and IoT devices
  • PLC and HMI programming and configuration
  • Low-voltage automation panels (12V / 24V DC)

Any work involving connection to building mains supply (120V or higher), high-voltage industrial loads, or gas-fired equipment is performed by an appropriately licensed third-party contractor engaged on a per-project basis (such as an Electrical Contractor licensed by ECRA/ESA, or a TSSA-registered gas technician). We do not provide professional engineering services under Ontario's Professional Engineers Act.

4. Quotes and payment

Quotes are valid for thirty (30) days unless stated otherwise. Standard payment terms are: a deposit on signing, milestone payments during the project, and the balance on delivery. Specific terms will be set out in your service agreement. Invoices are payable in Canadian dollars (CAD) and are subject to applicable taxes.

5. Intellectual property

Subject to full payment, custom code, designs, and configurations developed specifically for your project become your property upon final delivery. We retain ownership of any pre-existing tools, libraries, and frameworks we use to build your project, and we grant you a non-exclusive licence to use them as part of the deliverables.

All content on this website — text, graphics, logos, and code — is the property of NexGen Automations or its licensors and is protected by Canadian and international copyright law.

6. Third-party brands

We work with hardware and software made by third-party manufacturers (including, but not limited to, Caterpillar, FATEK, KEYENCE, Allen Bradley, Espressif, Arduino, Raspberry Pi Foundation, and others). All product names, logos, and brands are property of their respective owners. Our use of these names is for descriptive purposes only and does not imply endorsement, partnership, or affiliation unless explicitly stated.

7. No warranty

Except as set out in a signed service agreement, this website and any general information provided are made available on an "as is" and "as available" basis without warranty of any kind, whether express, implied, or statutory. We do not warrant that the website will be uninterrupted or error-free.

Customer outcomes (including financial savings, downtime reduction, and operational improvements) depend on factors outside our control. Any examples or estimates shown on this website are illustrative and not a guarantee of results.

8. Limitation of liability

To the maximum extent permitted by Ontario law, our total liability arising out of or related to a project shall not exceed the total fees paid by you to us for that specific project. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable Canadian law.

9. Confidentiality

Both parties agree to keep confidential any non-public business or technical information shared during a project, and to use it only for the purpose of delivering or receiving the services.

10. Termination

Either party may terminate a service agreement in accordance with the terms set out in that agreement. On termination, you will pay for all work completed up to the termination date.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Any dispute arising from these Terms or our services shall be resolved in the courts of the Province of Ontario.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent version. Continued use of the website after changes constitutes acceptance of the updated Terms.
